PRIVACY POLICY

Backdrop Labs, Ltd values your privacy. This Privacy Policy governs all users’ utilization of the Backdrop Build program Platform. By accessing and utilizing the Backdrop Build program Platform, you are subject to (and expressly or implicitly consent to) the provisions of this Privacy Policy and any document incorporated herein by reference.

  1. Definitions. Capitalized terms found throughout this Privacy Policy shall have the following meanings:

a. “Company” shall mean Backdrop Labs, Ltd a Delaware corporation with its registered address located at 1932 Washington Avenue, Santa Monica, California 90403.

b. “PII” shall mean personally identifiable information – the information unique to each User that is collected by the Company in order to perform Services.

c. “Platform” shall mean the complete collection of all Company services, including social media applications, the Website, and any other platform providing Services.

d. “Service” shall mean the services offered by the Company as detailed further in the Backdrop Build Program Terms of Participation.

e. “User” shall mean a natural or legal person who engages services offered by the Company, including, without limitation, accessing and utilizing the Website.

f. “Website” shall mean the Backdrop Build Program website, including its homepage and all subpages, whose usage this Privacy Policy shall govern. For purposes of clarification, the homepage of the Website shall be: https://backdropbuild.com

  1. Types of PII Collected. The Company may collect PII from Users in order to facilitate, perform, and complete Services. The Company may collect PII in accordance with the provisions of this section.

a. Users. The Company may collect and retain PII supplied by Users when they utilize any Service. Users may opt out of providing any or all PII, but, in such cases, they may not be able to utilize some or all such Services. For further information relating to what Services the Company offers, please read the Backdrop Build Program Terms of Service. Among other information, the Company may collect a User’s: -- Full legal name; -- Date of birth; -- Street and/or mailing address; -- Telephone number; -- Email address; -- Financial and/or bank information; and -- Browsing history.

b. Third Parties. The Company may also receive PII from third parties, including, without limitation: postal carriers; private couriers; advertising and sponsoring agents; and internet service providers. PII supplied by third parties may aid the Company in performing Services when information supplied by a User is incorrect or outdated.

c. Cookies. The Company may utilize cookies and other related tools (collectively “cookies”) to enhance Services for its Users. The Company may utilize cookies for: -- Recognizing User sign-ins; -- Tracking User preferences; -- Preventing identity theft and fraud, as well as maintaining and improving the security of the Platform; -- Personalizing advertisements; and -- Using data for internal purposes, such as analyzing Platform traffic and locations of User origins.

  1. Uses of Collected PII. In general, the Company may collect PII for the purposes stated in this section.

a. Know-Your-Participants. The Company may collect PII to verify that each User is eligible to participate in the Backdrop Build Program.

b. Prizes. The Company may collect PII to confirm and transfer prizes and winnings to Users and communicate with such Users in furtherance thereof.

c. Troubleshooting and Maintenance. The Company may collect PII to troubleshoot and resolve network or other information technology-related issues concerning the Platform or Services.

d. Personalization. The Company may collect PII to connect Users with Services they may personally prefer and/or enjoy by making recommendations to each User based on the User’s history of engaging identical or similar services.

e. Communication with Users. The Company may collect PII to communicate with each User in the manner preferred by the User, including email, telephone, or text messages.

f. Marketing. The Company may collect PII for the purpose of sending newsletters, promotional materials, sales offers, and other marketing material to Users.

g. Identity Theft Prevention. The Company may collect PII to verify the identities of Users and aid in preventing identity theft and/or fraud.

h. Legal Compliance. The Company may collect PII to comply with local, state, federal, or international laws, including, without limitation, identity theft, fraud, and other criminal laws. The Company may also collect PII as mandated by a valid order of a court of law, tribunal, or law enforcement authority.

  1. Sharing PII. The Company deems the protection of PII of all Users to be of paramount interest. For this reason, the Company will not share any PII with third parties except as detailed below.

a. Third-Party Services. Users may utilize services on the Platform that are provided by third parties with whom the Company does not have a parent-subsidiary relationship or over whose decisions it has no control or right of control. When using these third-party services, Users and/or the Company may provide PII to such third parties.

b. Third-Party Transactions. The Company may, from time to time, team up with third parties to sell or provide products and/or Services. In such an event, Users purchasing or receiving such products may provide their PII to such third parties alongside the Company.

c. Company Advertisements. The Company may advertise its Services and/or the products of third parties on the Platform at its sole discretion. In the event a User engages any of these advertisements, they may be redirected to locations on the Platform and/or third-party websites. In the event a User is redirected to a third-party website, they may be providing PII to such third parties. In the event a User is redirected within the Platform, the Company will not share their PII unless one of the provisions of this Privacy Policy apply.

d. Third-Party Advertisements. Users may encounter third-party advertisements from entities with whom the Company has teamed up on the Platform or while otherwise engaged in utilizing Services. Third-party advertisers may collect PII when Users interact with their content, advertising, and services. Furthermore, the Company may provide PII to companies providing advertising services that allows them to provide Users tailored and relevant advertisements. Some companies providing advertising services may use this information to provide Users advertisements from other advertisers.

e. Voluntary Information. In addition to the above, the Company may share PII with third parties if explicitly given permission to do so by a User. The User will always have the opportunity to revoke permission to provide PII to third parties by emailing hello@backdrop.so.

f. Legal Compliance. The Company may provide PII to authorities of law pursuant to subpoenas or to other law enforcement bodies upon presentation of a lawful valid order.

g. Business transferees. The Company may sell your PII to acquirers and other relevant participants in business transactions (or negotiations for such transactions) involving a corporate divestiture, merger, consolidation, acquisition, reorganization, sale, or other disposition of all or any portion of the business or assets of, or equity interests in, Backdrop or our affiliates (including, in connection with a bankruptcy or similar proceedings).

  1. Communication Preferences. The Company may provide Users an option to limit the extent of PII they provide. Examples of PII a User may opt out of providing include, without limitation: sending information to third-party entities providing advertising services; and communication methods through which the Company may send newsletters, promotions, marketing materials, and other non-order-specific information. Please note that Services may be affected by a User’s set communication preferences.

  2. Miscellaneous.

a. Legal Notices. Please send all legal communications to hello@backdrop.so.

b. Severability. In the event any term or provision of this Privacy Policy is held invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of the Privacy Policy or invalidate or render unenforceable such term or provision in any other jurisdiction.

c. Privacy Policy Effective. This Privacy Policy becomes effective when you access the Platform and remain effective as long as you maintain communications with the Company or otherwise utilize the Platform, whichever occurs later.

e. Amendment of Privacy Policy. The Company may, at its sole and absolute discretion, update this Privacy Policy. In the event such an update is issued, the Company may communicate such update to you via email sent to your most recent email address on file with the Company.
